Article 1 / Section 1.

The name of the organization shall be the Annapolis Neck Peninsula Federation, Incorporated. Hereinafter to be referred to as the Federation.

Article II / Section 1.

The purpose of the Federation is to represent member community organizations in the governance of the Annapolis Neck Peninsula in assuring that any change which takes place on the peninsula will be in those communities' best interests and will enhance as much as possible the general quality of life and the aesthetic nature of the area.

The Federation supports efforts to protect the fragile environment of the area, with particular concern for threats to the ecology of the Chesapeake Bay and its tributaries and to the ground water supply of the peninsula.

Article III / Section 1.

Membership in the Federation is open to any community or other organization representing residents of the Annapolis Neck Peninsula along the boundaries of the South and Severn Rivers and Route 50 Corridor that spans the two rivers and to similar organizations outside but contiguous to those boundaries.

To maintain a status of good standing, a member organization is required to pay annual dues.

Article IV / Section 1.

The Affairs of the Federation shall be governed and handled by a Board of Directors, hereinafter to be referred to as the Board.

Article IV / Section 2.

Function of the Board shall be:
a.
To ascertain that adequate services and facilities such as schools, roads, water, sewerage treatment, recreation, police and fire protection etc. are available for the present and future residents.
b.
To assure that testimony is given for the Federation at public hearings on all levels of government affirmatively on those matters advantageous to, and negatively on those matters detrimental to the preservation and enhancement of property values, health, security and welfare of the residents of the peninsula.
c.
To assist member organizations in solving community problems which could affect other areas of the peninsula.
d.
To appoint standing and/or ad hoc committees to represent the residents of the peninsula in matters of concern.
e.
To provide a channel of information to and from member organizations.
f.
To undertake publicity, educational and fund-raising programs as necessary for the good of the Federation.

Article IV / Section 3.

The Board shall consist of ten (10) members-at-large, elected for a term of two years by member organizations at the Novermber meeting.

a.
To the extent possible, five members should be elected each year.
b.
The Officers of the Federation shall be a President, a Vice-President, a Secretary and a Treasurer elected by the Board. To the extent possible, elections of the Officers should be staggered such that two of the Officers are elected each year. The election of the Officers shall occur as soon as possible after the Board member elections in November. The Officers' terms shall run concurrent with their Board membership.
c.
Each Board member or officer shall serve or hold office until his/her successor shall have been duly elected or until he/she resigns or otherwise leaves the Board.
d.
A Board vacancy caused by the resignation, death or otherwise of an officer or member may be filled by the Board for the unexpired portion of the term.
e.
A nominating committee appointed by the President will present a slate of candidates from member organizations prior to the November meeting.

Article IV / Section 4.

Duties of the Officers shall be:
a.
President - shall preside over all Federation and Board meetings, prepare and agenda for all such meetings and agenda for all such meetings and represent the Federation as required.
b.
Vice-President - shall act at the discretion of the President and shall assume the duties of the President in his/her absence.

c.
Recording Secretary - shall keep the minutes of all Federation and Board meetings. Shall be responsible for issuing timely notice of all regular and special meetings of the Federation and its Board of Directors.

d.
Treasurer - shall maintain complete and accurate records of all receipts and disbursements and provide financial reports as required. Shall maintain current lists of all officers, board members and member organizations including mailing addresses and telephone numbers.

Article IV / Section 5.

An Executive Committee of the Board of Directors, whose function shall be to carry out Federation business between meetings of the Board, shall be appointed by the President. The Executive Committee shall consist of the President and two (2) other members of the Board of Directors.

Article V / Section 1.

Regular meetings of the Federation will be held Quarterly during the months of February, May, August and November, except that the summer meeting in August may be suspended or scheduled for July or September as determined by the Board of Directors.

Special meetings of the Federation may be convened at the discretion of the Board of Directors or upon request of at least 1/3 of the member organizations.

Regular meetings of the Board will be held quarterly during the months of January, April, July and October. At such meetings the Agenda for the quarterly Federation meeting will be developed. The summer meeting, in July, may be suspended or scheduled in June or August.

All member organizations of the Federation shall be notified in writing by the Secretary at least fifteen (15) days in advance of all regular and special meetings of the Federation. Such notices shall include place, time and agenda for the meeting.

All members of the Board of Directors will be notified by the Secretary at least seven (7) days in advance of all regular and special meetings of the Board. Such notice shall include the place and time of such meeting.

A quorum for each meeting of the Federation shall consist of not fewer than 50% of the member organizations in good standing.

Dues for member organizations shall be recommended annually by the Federation Board of Directors to the general membership and be approved by the membership at the May meeting. Dues shall be payable prior to July first (1st) annually.

Article VII / Section 1.

These by-laws shall take effect and be in force when adopted by an affirmative vote of a majority of member organizations in good standing.

These by-laws may be amended at any regular meeting of the Federation by an affirmative vote of at least two-thirds (2/3) of the member organizations in good standing, provided the amendment has been presented in writing to member organizations in good standing at least fifteen (15) days prior to the meeting.

Roberts's Rules (Newly Revised) shall be used in all items not stated in the by-laws.
